1. Identity, definitions and contact

VYNDIS is the trade name under which Michael Deleu offers services from Aimé Liebaertstraat 2/201, 8400 Ostend, Belgium. Contact: info@vyndis.be, +32 468 41 51 72 and https://vyndis.be.

In these terms and conditions, 'customer' means any natural person or organization that requests information, receives a quote or concludes an agreement. A 'consumer' is a natural person who mainly acts outside a professional activity. 'Written' includes e-mail and communication via the customer portal when the sender and content are sufficiently identified.

2. Application and ranking

These conditions apply to quotations and agreements regarding visual drone inspection, photography, video, construction or site monitoring, image selection, installation, reporting and associated digital services. They are made available on a durable medium before the agreement or together with the quotation.

A specific quotation or order confirmation takes precedence if it expressly deviates from these conditions. Other conditions only apply after written acceptance by VYNDIS. Mandatory consumer rights and other provisions that cannot be deviated from by law always remain valid.

3. Application, quotation and agreement

A website request is without obligation. The quotation describes the location, purpose, scope, deliverables, planning, price or calculation method and any special conditions. Unless stated otherwise, a quotation remains valid for 30 calendar days.

The agreement is concluded when the customer accepts the specific quotation in writing and without reservation and VYNDIS receives that acceptance. A deviating acceptance counts as a new proposal. Changes, additional recordings or additional work will be discussed in advance and confirmed in writing, except in the case of an immediate security measure.

4. Prices, costs and advances

The quotation states the applicable price, taxes and known additional costs. Public starting prices describe a standard job and are not a fixed price for each location. Accessibility, surface area, geozone, permits, safety measures, relocation, post-processing, reporting and desired delivery can influence the price.

An advance is only due if the quotation clearly states this. Unexpected additional work will not be charged without agreement. If a cost could not be reasonably calculated in advance, VYNDIS will inform the customer as soon as possible before additional services are carried out.

5. Information and cooperation by the customer

The customer provides correct information in a timely manner about location, ownership or right of use, access, known risks, persons present, deadlines and the intended use of the results. The customer provides plans, permissions or contact persons that fall under his responsibility according to the quotation.

The customer shall maintain a safe and accessible work area and report changes immediately. VYNDIS may suspend execution if necessary information, access or security is lacking. Reasonably demonstrable consequences of incorrect or late information can be presented as additional work.

6. Drone flight, safety and legislation

Each drone assignment is dependent on the applicable aviation regulations, operational category, registration and competency requirements, current geozones, terrain conditions and a safe take-off and landing zone. VYNDIS carries out the necessary operational checks and determines the safe working method.

The remote pilot makes the final decision about starting, continuing, adjusting or aborting a flight. The customer cannot impose any instruction that conflicts with security, privacy, regulations or the agreed scope. A safety decision made on reasonable grounds does not count as a contractual breach.

7. Planning, Weather and Replanning

Recording dates and delivery times are binding when expressly confirmed as binding. Wind, rain, visibility, temperature, sun position, geozone restrictions and unexpected conditions can affect safety or image quality.

If VYNDIS has to postpone for safety, weather or aviation reasons, a new date will be sought in consultation without rescheduling costs. The customer remains responsible for previously agreed external costs that are demonstrably not recoverable, insofar as this was clear in advance and is legally permitted.

8. Force majeure

No party shall be liable for delay or failure to perform due to an event beyond its reasonable control, such as sudden closure of airspace, prohibition by a competent authority, severe weather conditions, failure of essential infrastructure or an unforeseen security threat. The affected party will inform the other party as soon as possible and reasonably limit the consequences.

If the impediment continues and performance becomes final or unreasonably onerous, either party may terminate the part that has not yet been performed. Correctly performed services and legally permissible, demonstrably non-recoverable costs remain due.

9. Execution and subcontractors

VYNDIS carries out the assignment carefully and in accordance with the professional standards and agreed scope. VYNDIS may engage suitable specialized partners for, for example, additional recording, editing or technical support and remains responsible for the coordination of the agreed performance.

The customer accepts that minor differences in camera angle, light, color or timing may be normal if they do not materially affect the agreed purpose. An obligation to achieve results only applies if the quotation expressly guarantees a concrete result.

10. Delivery and customer portal

Number of images, resolution, editing, file formats, report format and delivery time are stated in the quotation. Delivery is done via email, a temporary download link, the secure customer portal or another agreed channel. The customer protects his access link and account and reports suspected abuse immediately.

Raw footage, source files, and editing projects are included only where specifically stated. The customer downloads results within the communicated period and then keeps his own copy. VYNDIS may propose a reasonable cost for recovery or redelivery after the retention period has expired, if the files are still available.

11. Review, Comments and Remediation

The customer checks the delivery as quickly as reasonably possible and reports a concrete shortcoming with sufficient explanation via info@vyndis.be. Consumers retain their legal rights regardless of an audit period.

VYNDIS will first be given a reasonable opportunity to investigate a demonstrable shortcoming within the agreed scope and, where appropriate, to repair, redeliver or propose a proportionate solution. A complaint only suspends the reasonably disputed part of an invoice.

12. Limits of visual inspection

A VYNDIS inspection is visual and non-destructive. It shows visible features in the agreed areas and under the conditions of the recording moment. Hidden defects, internal structural parts, material strength, exact dimensions and causes that require specialist or destructive examination are not automatically included.

An image report is not a stability study, EPC, statutory inspection, land survey, insurance decision, judicial expertise or guarantee that any defect has been identified. Where necessary, the customer has findings assessed by a competent construction expert, engineer, roofer or other expert.

13. Intellectual property and rights of use

VYNDIS retains copyrights and other intellectual rights to images, reports, selections, montages, templates and methods, unless a transfer has been agreed in writing. After full payment, the customer receives a non-exclusive right of use for the purpose, channels, region and duration described in the quotation.

Resale, sublicense, major editing, inclusion in artificial intelligence training data or use outside the agreed purpose requires prior written consent. Portrait, privacy, trademark, property and other rights of third parties must always be respected. VYNDIS only publishes customer material with an appropriate basis or permission.

14. Confidentiality and personal data

The parties treat non-public project, safety and business information confidentially and use it only for the assignment, legal obligations or the defense of rights. This obligation continues to apply as long as the information is reasonably confidential.

The VYNDIS privacy statement describes the processing of personal data. When the customer determines the purpose and means of personal data in assignment images, the customer provides a valid legal basis and information to data subjects. Parties make additional agreements when VYNDIS acts as a processor or when joint responsibility arises.

15. Payment

Unless the quotation stipulates otherwise, invoices are payable within 14 calendar days from the invoice date. The customer reports a dispute in a timely and substantiated manner; the undisputed part remains payable.

VYNDIS first sends a consumer a free reminder and waits at least the legally required 14 calendar days before permitted interest or compensation can accrue. These amounts never exceed the legal maximums. The applicable legal rules regarding payment arrears apply to professional customers, unless otherwise validly agreed in writing.

16. Cancellation by Customer

The customer reports a cancellation or rescheduling as early as possible. VYNDIS will try to find a new date when practically feasible. In the event of cancellation, only reasonable, demonstrable and already incurred or non-recoverable costs can be charged, taking into account the time, reserved capacity and statutory consumer protection.

A predetermined cancellation amount or advance payment only applies if the quotation clearly states this, is reciprocal and balanced and the law allows this. Consumers' statutory right of withdrawal continues to apply separately.

17. Right of withdrawal for consumers

If a consumer concludes the contract entirely remotely or outside the sales area, he or she can, in principle, revoke the contract within 14 calendar days without giving reasons. The term begins according to applicable law. Revocation can be made with an unambiguous statement to info@vyndis.be or with the model form in article 18.

If the consumer expressly requests to start the service during the withdrawal period, a proportionate amount may be due for the part already performed in the event of withdrawal. The right lapses for a fully performed service only after the consumer has expressly agreed in advance to the start and acknowledged that the right of withdrawal is lost after full performance. Legal exceptions continue to apply.

18. Model withdrawal form

Only complete this and return it if you as a consumer want to withdraw from the agreement: To VYNDIS, Michael Deleu, Aimé Liebaertstraat 2/201, 8400 Oostende, info@vyndis.be.

I hereby give notice that I revoke our agreement regarding the following service: [description]. Ordered on: [date]. Consumer name: [name]. Consumer address: [address]. Date: [date]. Consumer signature: [only when this form is submitted on paper].

19. Liability

VYNDIS is liable for direct damage resulting from an attributable contractual error, within the limits of applicable law. VYNDIS is not responsible for decisions outside the agreed scope, hidden defects that a visual inspection could not reveal, or consequences of incorrect information from the customer.

No provision shall exclude liability which cannot be excluded or limited by law, including liability for fraud, willful misconduct, serious misconduct or injury to life or physical integrity where the law so provides. Parties will take reasonable measures to prevent and limit foreseeable damage.

20. Complaints, mediation and disputes

A complaint can be sent to info@vyndis.be. The parties first try to reach a solution directly and in good faith. After an unsuccessful direct attempt, a consumer can also contact the Consumer Ombudsman Service or another competent extrajudicial body.

Belgian law applies, without prejudice to mandatory protection that a consumer enjoys. A dispute will be submitted to the competent court according to the law; these terms and conditions do not limit a consumer's legal right to choose a court of competent jurisdiction.

21. Severability, changes and version

If a provision is invalid or unenforceable, the remaining provisions will continue to apply to the extent that the agreement can continue without that provision. The parties will only replace the invalid provision to the extent necessary with a legal and balanced arrangement with an aim that is as comparable as possible.

For an existing agreement, the version that was delivered or accepted with the quotation applies. Subsequent changes only apply to future assignments, unless the parties accept them in writing or a legal change must be applied immediately. Version of September 6, 2026.
